Legal agreement governing your use of Exepart

Welcome to Exepart

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Exepart Electronics Inc. ("Exepart," "we," "us," or "our"), governing your access to and use of the Exepart website, mobile applications, and all related services (collectively, the "Platform"). By creating an account, browsing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Platform.

1. Acceptance and Modifications

1.1 Binding Agreement

Your use of the Platform constitutes full acceptance of these Terms. By accessing or using the Exepart Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Platform.

1.2 Modifications

We may modify or update these Terms at any time. Material changes will be communicated via email or through the Platform. Changes become effective immediately upon posting to the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

1.3 Supplementary Policies

Additional policies (Privacy Policy, Cookie Policy, Verification Policy, etc.) are incorporated by reference and form part of these Terms.

2. Eligibility

You may use the Platform only if you:

  • Are at least 18 years of age (or legal majority in your jurisdiction)
  • Have full authority and capacity to enter into binding contracts
  • Are not subject to trade restrictions, sanctions, or embargoes
  • Are registering on behalf of a legitimate business entity (if applicable)
  • Provide accurate and verifiable business or personal information

We may refuse, suspend, or terminate any account that fails to meet these criteria.

3. Account Registration and Verification

3.1 Account Setup

You must create an account to access key Platform features. You agree to provide truthful and up-to-date information and to safeguard your credentials.

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Business Verification

Brokers and Manufacturers must submit valid business registration documents for verification.

Exepart verifies only that a company appears to be a legally registered entity — not that it is reputable, authentic, or compliant. Verification does not imply endorsement, certification, or approval of products, operations, or credibility.

Buyers: You must provide a valid company name during registration. This information will be visible to sellers when you send inquiries to maintain transparency in business transactions.

3.3 Account Security

You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

3.4 Suspension or Termination

We may suspend or terminate your account, without notice, for violations of these Terms, suspicious activity, fraud, non-payment, or for protecting Platform integrity.

  • Violation of these Terms or our policies
  • Fraudulent, illegal, or suspicious activity
  • Non-payment of subscription fees
  • Complaints from other users regarding your conduct
  • Extended periods of inactivity
  • Any reason we deem appropriate to protect our Platform or users

4. Platform Description and Role of Exepart

IMPORTANT: Platform Role and Limitations

Exepart is ONLY a connection platform. We provide a centralized meeting place where business parties can connect.

  • We DO NOT sell electronic components
  • We DO NOT take payment for any components
  • We DO NOT handle, store, or ship components
  • We DO NOT guarantee component authenticity, quality, or condition
  • We DO NOT guarantee that listed companies will fulfill their obligations
  • We DO NOT act as an agent, broker, intermediary, or representative for any party
  • We ONLY provide subscription-based platform access and services

4.1 Exepart's Limited Role

Exepart is a technology service provider. We offer tools to connect businesses (buyers, brokers, and manufacturers) in the electronic components industry.

We do not:

  • Buy, sell, trade, or manufacture components
  • Handle or store any goods
  • Facilitate, process, or guarantee payments between users
  • Verify authenticity, condition, or legality of components
  • Act as an agent, broker, intermediary, or representative for any party
  • Guarantee any outcome of communications or transactions

4.2 Services Provided

We provide tools and infrastructure to help parties connect and communicate:

  • AI-powered component search and cross-reference tools
  • Company directory and verification display
  • Inquiry messaging and contact exchange
  • Inventory listing tools (for brokers and manufacturers)
  • Subscription management and analytics

4.3 Business Model

Exepart generates revenue exclusively from subscription fees for Platform access and related digital tools. We do not charge commissions, transaction fees, or sales percentages.

4.4 Verification Limitation

Verification checks confirm only that submitted company documentation appears valid. We do notinvestigate the actual reputation, conduct, or authenticity of any user, company, or listing.

What Verification Does NOT Mean: Our company verification does NOT guarantee, warranty, endorse, or certify:

  • That the company sells authentic or original components
  • That the company's components are new or unused
  • The quality, reliability, or reputation of the company
  • That the company will fulfill its obligations
  • That the company complies with industry standards or regulations
  • That the company has necessary licenses or certifications
  • That the company's business practices are ethical or lawful

4.5 AI Disclaimer

AI-generated component matches, cross-references, or suggestions are informational only. Accuracy is not guaranteed. Users must independently verify all AI results before taking action.

5. User Roles and Responsibilities

CRITICAL: Buyer's Sole Responsibility for Component Verification

IT IS ENTIRELY THE BUYER'S RESPONSIBILITY to verify the authenticity, quality, condition, and specifications of all components before purchase and after receipt.

Exepart STRONGLY RECOMMENDS that all buyers:

  • Send components to accredited component testing laboratories for authenticity verification
  • Use independent third-party inspection services
  • Request certificates of authenticity and datasheets
  • Verify seller credentials and reputation independently
  • Conduct thorough due diligence before making purchases

WARNING: Counterfeit and substandard electronic components exist in the market. Exepart does NOT verify, test, or guarantee component authenticity. Using unverified components can result in product failures, safety hazards, and significant financial losses. YOU ASSUME ALL RISKS.

5.1 Buyers

As a buyer using the Exepart platform, you acknowledge and accept the following responsibilities:

  • Search and Inquiry: Search for and inquire about electronic components using our platform tools
  • Accurate Requirements: Provide accurate and detailed requirements in inquiry requests
  • Seller Due Diligence: YOU ARE SOLELY RESPONSIBLE for conducting comprehensive due diligence on sellers, including verifying business legitimacy, reputation, references, and history
  • Component Verification: YOU ARE SOLELY RESPONSIBLE for verifying component authenticity, quality, condition, specifications, and compliance with your requirements
  • Testing Requirements: YOU MUST arrange for independent testing and verification of components, particularly high-value or critical components, through accredited testing laboratories
  • Direct Negotiation: Negotiate all terms, prices, quantities, delivery schedules, payment terms, and warranties directly with sellers
  • Payment Arrangements: Arrange payment directly with sellers; Exepart does NOT handle component payments
  • Legal Compliance: Ensure compliance with all applicable laws, regulations, export controls, and sanctions
  • Good Faith: Complete transactions in good faith and honor commitments made to sellers
  • Risk Acceptance: Accept ALL risks associated with component purchases including authenticity, quality, delivery, and seller performance

5.2 Brokers

As a broker using the Exepart platform, you acknowledge and accept the following responsibilities:

  • Accurate Listings: List components accurately with correct part numbers, specifications, quantities, and conditions
  • Authenticity Disclosure: Clearly disclose the source, condition (new/used/refurbished), and any known authenticity verification of components
  • Inventory Management: Maintain up-to-date and accurate inventory, pricing, and availability information
  • Responsive Communication: Respond to inquiries promptly, professionally, and accurately
  • Transaction Fulfillment: Fulfill orders as agreed with buyers, including delivery timelines and component specifications
  • Business Documentation: Maintain valid business credentials, licenses, and certifications as required
  • Legal Compliance: Comply with all applicable export/import regulations, trade sanctions, and customs requirements
  • Honest Representation: Do NOT misrepresent component origin, condition, authenticity, or certifications
  • Direct Transactions: Handle all negotiations, payments, and shipments directly with buyers

5.3 Manufacturers

As a manufacturer using the Exepart platform, you acknowledge and accept the following responsibilities:

  • Genuine Products Only: List only genuine products manufactured or authorized by your company
  • Accurate Specifications: Provide accurate product specifications, datasheets, and technical documentation
  • MOQ and Lead Times: Clearly state and honor minimum order quantities (MOQ), lead times, and production schedules
  • Quality Standards: Maintain appropriate quality standards, certifications (ISO, etc.), and manufacturing controls
  • Intellectual Property: Respect and comply with all intellectual property laws and trademark rights
  • Responsive Communication: Respond to inquiries promptly and provide technical support as needed
  • Direct Transactions: Handle all negotiations, payments, and shipments directly with buyers or brokers
  • Legal Compliance: Comply with all applicable regulations, certifications, and industry standards

5.4 Accredited Component Testing Laboratories

Exepart STRONGLY RECOMMENDS that buyers utilize accredited third-party component testing laboratories to verify authenticity, quality, and specifications. Reputable testing services include:

  • ERAI Inc. (Electronic Resellers Association International)
  • GIDEP (Government-Industry Data Exchange Program) Alert Services
  • Independent Distributors of Electronics Association (IDEA) certified labs
  • ISO 17025 accredited testing laboratories
  • Manufacturer-authorized verification services

Note: Testing costs are the buyer's responsibility. While testing represents an additional expense, it provides critical protection against counterfeit and substandard components that could result in far greater losses.

6. Content and Listings

6.1 User-Generated Content

You retain ownership of content you submit to the Platform ("User Content"), but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content for operating and promoting the Platform.

You represent and warrant that:

  • You own or have the right to use all User Content you submit
  • Your User Content does not infringe any third-party rights
  • Your User Content complies with these Terms and applicable laws
  • All product information you provide is accurate and current

6.2 Prohibited Content

You may not post content that:

  • Infringes intellectual property rights
  • Contains counterfeit or unauthorized products
  • Is false, misleading, or deceptive
  • Contains malware, viruses, or malicious code
  • Violates export control or sanctions laws
  • Promotes illegal activities
  • Contains obscene, defamatory, or offensive material
  • Violates others' privacy rights

6.3 Content Monitoring and Removal

While we are not obligated to monitor User Content, we reserve the right to review, edit, or remove any content at our discretion, including content that violates these Terms or is reported by other users. We may also use AI verification tools to detect potentially fraudulent or counterfeit listings.

7. Transactions and Payments

Payment Clarification

Exepart processes ONLY subscription payments for platform access. We NEVER process component transaction payments.

  • We charge FOR: Monthly/annual subscription plans for platform access and services
  • We DO NOT charge FOR: Component sales, transaction fees, commissions, or any transaction-related costs
  • Component Payments: All component payments occur directly between buyers and sellers outside our platform

7.1 Platform Connection Service (Not Component Sales)

Critical Clarification: Exepart is a connection platform ONLY. We facilitate communication and connections between parties but DO NOT participate in component transactions.

What This Means:

  • NO Component Sales: Exepart does not sell, distribute, or handle electronic components
  • NO Transaction Payments: We do not process, hold, or receive any payments for component purchases
  • NO Possession: We never take physical possession of components
  • NO Quality Guarantees: We do not guarantee quality, safety, authenticity, or legality of components
  • NO Listing Verification: We do not verify the accuracy of component listings or specifications
  • NO Transaction Guarantees: We do not guarantee that transactions will be completed successfully
  • NO Seller Performance Guarantees: We do not guarantee seller reliability or delivery
  • NO Buyer Payment Guarantees: We do not guarantee buyers will make payments

Your Acknowledgment: All component transactions occur directly between users. You are solely responsible for conducting due diligence, negotiating terms, arranging payments, verifying components, and managing all transaction risks.

7.2 Subscription Payments ONLY (Stripe Integration)

What We Charge For: Exepart charges subscription fees EXCLUSIVELY for platform access and services. These fees provide access to our connection platform, inquiry system, search tools, and related features.

Payment Processing: Subscription payments for Platform access are processed securely through Stripe, Inc. ("Stripe"), a PCI-DSS Level 1 certified third-party payment processor. By subscribing, you agree to Stripe's Terms of Service and Privacy Policy.

Data Security: We do NOT store your complete credit card information on our servers. Payment data is transmitted directly to Stripe using industry-standard SSL/TLS encryption. Stripe maintains the highest level of payment security certification.

Stripe's Responsibilities:

  • Secure storage and processing of payment card information
  • PCI-DSS Level 1 compliance and security standards
  • Fraud detection and prevention systems
  • Chargeback and dispute management
  • Payment card industry compliance
  • GDPR and data protection compliance

7.3 Subscription Plans and Terms

Available Plans: Current subscription plans and pricing are available on our Pricing page. Different plans may offer different feature access levels, inquiry limits, and service capabilities.

Pricing Changes: We reserve the right to modify subscription pricing with 30 days advance notice to existing subscribers. New prices will apply at your next renewal date.

Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Payment is due at the beginning of each billing cycle.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling if you wish to stop service.

Refund Policy: Subscription fees are non-refundable except as required by applicable law or at our sole discretion. If you cancel, you retain access until the end of your current paid billing period.

Free Trials: If offered a free trial, you will be automatically charged the regular subscription fee when the trial expires unless you cancel before the trial end date.

Payment Failure: If subscription payment fails, we may suspend or terminate your account access. You remain responsible for any outstanding fees.

7.4 Component Transactions (Buyer-Seller Direct)

Direct Transactions Only: ALL component transactions, negotiations, payments, and deliveries occur directly between buyers and sellers. Exepart is NOT involved in any aspect of component transactions.

Payment Arrangements: Buyers and sellers must negotiate and arrange payment terms independently. Common arrangements include:

  • Bank wire transfers
  • Letters of credit
  • Purchase orders and invoicing
  • Escrow services (arranged independently by parties)
  • Credit terms (net 30, net 60, etc.)
  • Partial deposits and milestone payments

Exepart's Non-Involvement: We do NOT:

  • Process component payments
  • Hold funds or act as escrow
  • Receive transaction fees or commissions
  • Verify payment completion
  • Guarantee payment by buyers
  • Guarantee delivery by sellers
  • Mediate payment disputes (though we may provide communication assistance)

7.5 Transaction Disputes

User Responsibility: Disputes regarding component transactions, payments, quality, delivery, or any other transaction-related issues must be resolved directly between the parties involved.

Limited Assistance: While we may provide communication facilitation or dispute resolution suggestions, we are NOT obligated to intervene in disputes and make no guarantees regarding outcomes.

Dispute Process: We recommend parties:

  • Attempt good-faith direct negotiation first
  • Document all communications and agreements
  • Consider mediation or arbitration services
  • Seek legal counsel for significant disputes
  • Utilize trade association dispute resolution programs (ERAI, IDEA, etc.)

Exepart's Limitations: We have no obligation to verify facts, investigate claims, or make judgments regarding disputes. Users release Exepart from all liability related to transaction disputes.

8. Intellectual Property Rights

8.1 Exepart's Intellectual Property

The Platform, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, is owned by Exepart and protected by copyright, trademark, patent, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer or decompile any Platform software
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission
  • Frame or mirror any part of the Platform
  • Use automated systems to access the Platform without authorization

8.2 Component Manufacturer Rights

Manufacturers retain all intellectual property rights to their products, datasheets, and related materials. Brokers and buyers may not:

  • Reproduce or redistribute manufacturer datasheets without permission
  • Use manufacturer trademarks in a misleading manner
  • Reverse engineer or copy manufacturer designs
  • Claim products are manufacturer-authorized unless verified

8.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyright has been infringed, contact us at legal@exepart.com with:

  • Identification of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • A statement of good faith belief that use is unauthorized
  • A statement under penalty of perjury that information is accurate
  • Your physical or electronic signature

9. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform's operation
  • Attempt to gain unauthorized access to any part of the Platform
  • Use automated bots, scrapers, or data mining tools without permission
  • Collect user information without consent
  • Send spam, phishing attempts, or malicious communications
  • Engage in fraudulent activities
  • List counterfeit, stolen, or illegal products
  • Manipulate prices or engage in anti-competitive practices
  • Create multiple accounts to circumvent restrictions
  • Share your account credentials with others
  • Engage in harassment, abuse, or threatening behavior
  • Circumvent any security features or access controls

10. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

Key privacy points:

  • We collect information necessary to operate the Platform
  • We use secure encryption for data transmission and storage
  • Payment data is processed exclusively by Stripe
  • We comply with GDPR, CCPA, and applicable data protection laws
  • You have rights to access, correct, and delete your data

11. Disclaimers and Limitation of Liability

PLATFORM SERVICE ONLY - NO TRANSACTION LIABILITY

EXEPART PROVIDES ONLY A CONNECTION PLATFORM. WE HAVE NO LIABILITY FOR COMPONENT TRANSACTIONS, QUALITY, AUTHENTICITY, DELIVERY, PAYMENTS, OR ANY TRANSACTION OUTCOMES.

By using this platform, you acknowledge that ALL transaction risks are borne entirely by you. We are NOT a marketplace participant, seller, buyer, broker, or guarantor.

11.1 "As Is" Platform Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

WE EXPRESSLY DISCLAIM ALL WARRANTIES REGARDING:

  • Platform availability, uptime, or uninterrupted service
  • Security or freedom from errors, bugs, or vulnerabilities
  • Freedom from viruses, malware, or harmful components
  • Accuracy or reliability of any information on the Platform
  • Accuracy of user-generated content or listings
  • Quality, accuracy, or completeness of component listings
  • Authenticity or origin of listed components
  • Condition (new/used/refurbished) of components
  • Specifications or datasheets provided by users
  • Pricing accuracy or availability of components
  • User credentials, verification, or legitimacy
  • AI-generated recommendations or suggestions
  • Search results or component matches
  • Seller performance or reliability
  • Buyer payment capability or intent
  • Transaction completion or fulfillment
  • Component delivery or shipping
  • That defects will be corrected

11.2 No Component Quality Warranty

CRITICAL DISCLAIMER: EXEPART DOES NOT WARRANT, GUARANTEE, ENDORSE, OR VERIFY:

  • Authenticity: That components are genuine, original, or from authorized sources
  • Quality: That components meet any quality standards or specifications
  • Condition: That components are new, unused, undamaged, or functional
  • Compliance: That components comply with regulations, standards, or certifications
  • Suitability: That components are suitable for any particular purpose
  • Specifications: That component specifications match listings or datasheets
  • Performance: That components will perform as expected
  • Safety: That components are safe for any use
  • Legality: That component sales comply with all applicable laws

YOU ASSUME ALL RISKS associated with component authenticity, quality, and suitability. Exepart STRONGLY RECOMMENDS using accredited testing laboratories for all component verification.

11.3 No Transaction Guarantees

EXEPART DOES NOT GUARANTEE OR WARRANT THAT:

  • Sellers will honor their listings or commitments
  • Sellers will ship components or deliver as promised
  • Sellers have components in stock or available
  • Buyers will make payments as agreed
  • Buyers will accept delivered components
  • Transactions will be completed successfully
  • Either party will act in good faith
  • Either party will honor their agreements
  • Disputes will be resolved satisfactorily
  • Users are who they claim to be
  • Business credentials are valid or current

11.4 Third-Party Content and Links

The Platform may contain links to third-party websites, advertisements, services, or content. We do not control, endorse, verify, or assume responsibility for third-party content. Your interactions with third parties are solely between you and the third party. We disclaim all liability for third-party services, including but not limited to:

  • Stripe payment processing (subject to Stripe's terms)
  • Testing laboratories or verification services
  • Shipping carriers or logistics providers
  • External component databases or datasheets
  • Trade associations or industry organizations

11.5 Maximum Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXEPART, ITS AFFILIATES, PARENT COMPANIES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • COMPONENT-RELATED DAMAGES: Any damages arising from component purchases, quality, authenticity, delivery, specifications, performance, or suitability
  • TRANSACTION DAMAGES: Damages from failed transactions, non-payment, non-delivery, fraud, or disputes between users
  • COUNTERFEIT COMPONENTS: Damages from counterfeit, substandard, or non-conforming components
  • SELLER MISCONDUCT: Damages from seller fraud, misrepresentation, or failure to perform
  • BUYER MISCONDUCT: Damages from buyer non-payment, fraud, or breach of agreements
  • INDIRECT DAMAGES: Indirect, incidental, special, consequential, or punitive damages
  • FINANCIAL LOSSES: Loss of profits, revenue, business opportunities, contracts, or goodwill
  • OPERATIONAL LOSSES: Production delays, equipment damage, product recalls, or downtime
  • DATA LOSSES: Loss or corruption of data, content, or information
  • SUBSTITUTE COSTS: Costs of substitute goods, services, or components
  • USER CONDUCT: Damages arising from User Content, conduct, or violations
  • SECURITY BREACHES: Damages from unauthorized account access or security incidents
  • PLATFORM ISSUES: Damages from Platform downtime, errors, bugs, or unavailability
  • THIRD-PARTY ACTIONS: Damages from third-party services, content, or conduct

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF EXEPART HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL EXEPART'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PERSONALLY PAID TO EXEPART IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

Clarification: This liability cap applies ONLY to Platform service issues, NOT to component transactions (for which we have ZERO liability as we are not participants).

11.6 User Disputes and Release

COMPLETE RELEASE FROM TRANSACTION DISPUTES: You acknowledge and agree that Exepart is NOT responsible for disputes, conflicts, or disagreements between users regarding:

  • Component authenticity, quality, condition, or specifications
  • Pricing, payment terms, or payment disputes
  • Delivery, shipping, or logistics
  • Transaction completion or fulfillment
  • Warranties, returns, or refunds (which are between buyer and seller only)
  • Fraud, misrepresentation, or misconduct
  • Intellectual property disputes
  • Contract interpretation or enforcement

RELEASE OF CLAIMS: You hereby RELEASE and forever DISCHARGE Exepart and its affiliates from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from or related to:

  • Transactions or attempted transactions with other users
  • Disputes with other users
  • Component purchases or sales
  • User conduct or misconduct
  • Component quality, authenticity, or specifications

If you have a dispute with another user, you agree to resolve it directly with that user and not involve Exepart in any legal proceedings except as may be required by law for discovery purposes.

11.7 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by applicable law. Nothing in these Terms limits your statutory rights as a consumer that cannot be waived or limited by contract.

12. Indemnification

You agree to indemnify, defend, and hold harmless Exepart, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your User Content
  • Your transactions with other users
  • Your violation of third-party rights
  • Your fraudulent or illegal activities

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any legal action arising from these Terms must be brought in the courts of Vancouver, British Columbia, Canada.

13.2 Dispute Resolution Process

Informal Resolution: Before filing a formal dispute, you agree to contact us at legal@exepart.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC). The arbitration shall be conducted in Vancouver, British Columbia, Canada and conducted in English.

Exceptions: Either party may seek injunctive relief in court to protect intellectual property rights or to prevent unauthorized access to the Platform.

13.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@exepart.com. You remain responsible for any fees incurred before termination.

14.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Complaints from other users
  • Prolonged inactivity
  • Any reason we deem necessary to protect the Platform or users

14.3 Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases
  • We may delete your account and User Content
  • You remain liable for any obligations incurred before termination
  • Provisions that should survive termination will continue to apply

15. Additional Legal Protections

15.1 Force Majeure

Exepart is not liable for delays or failures beyond our control (e.g., natural disasters, war, cyberattacks, network outages, pandemics, acts of government authorities, strikes, or other events of force majeure).

15.2 Independent Contractors

Use of the Platform does not create partnership, agency, joint venture, or employment relationships between users or with Exepart. All users are independent contractors.

15.3 Export Compliance

Users must comply with all international trade and export laws, including but not limited to U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and Office of Foreign Assets Control (OFAC) sanctions. You are solely responsible for ensuring compliance with all export control requirements.

15.4 Severability

Invalid provisions will not affect remaining Terms. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.5 Assignment

You may not transfer rights without written consent. We may assign these Terms to any affiliate, subsidiary, or successor without restriction.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Exepart regarding the Platform and supersede all prior agreements and understandings.

16.2 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.3 U.S. Government Rights

If you are a U.S. government entity, the Platform is a "commercial item" as defined in 48 C.F.R. §2.101 and is provided with only those rights as are granted to all other end users under these Terms.
